Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your") and Quotefy ("we", "our", "us") governing your use of the Quotefy web application and related services at getquotefy.com (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Quotefy is a web-based software platform that enables service professionals to create estimates, send invoices, manage customers, and collect payments online. The Service includes:

• Estimate creation and delivery via email
• Invoice generation with online payment links
• Customer relationship management
• PDF document generation with your company branding
• Payment collection via Stripe (subject to Stripe's terms)
• Activity tracking and dashboard analytics

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access
• Ensuring that your account information remains accurate and up to date

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Free Trial

New accounts receive a 14-day free trial with limited usage (up to 5 estimates and 5 invoices). During the trial:

• No credit card is required to start
• You have access to all features within the usage limits
• At the end of the trial, you must subscribe to a paid plan to continue creating estimates and invoices
• Your existing data is preserved if you upgrade; it is not deleted if you do not upgrade

5. Subscription and Billing

5.1 Plans and Pricing

Quotefy offers paid subscription plans billed on either a monthly or annual cadence. Annual subscriptions are billed upfront for the year and include a discount over the equivalent monthly rate. Current pricing for each cadence is displayed on our website and within the app. We reserve the right to change pricing with 30 days’ advance notice to existing subscribers.

5.2 Payment

Subscription payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis at the cadence you selected at signup (monthly or annual). You are responsible for keeping your payment information current. Annual subscriptions automatically renew for another year unless canceled before the renewal date; monthly subscriptions automatically renew each month unless canceled.

5.3 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• You retain access until the end of your current billing period (the next monthly renewal date for monthly plans, or the next annual renewal date for annual plans)
• No partial refunds are issued for unused time within a billing period
• Your data is preserved and accessible in read-only mode
• You can resubscribe at any time to regain full access

5.4 Refunds

We do not offer refunds for subscription fees already charged. If you believe you were charged in error, contact us within 14 days of the charge at billing@getquotefy.com.

6. Your Data

6.1 Ownership

You retain full ownership of all data you enter into Quotefy, including customer information, estimates, invoices, and payment records. We do not claim any ownership rights over your content.

6.2 License to Us

You grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Service. This includes generating PDFs, sending emails on your behalf, and processing payments.

6.3 Data Portability

You may export your data at any time. Upon account deletion, we will provide your data in a standard format upon request within 30 days.

7. Payment Collection (Stripe Connect)

If you use Quotefy to collect payments from your clients via Stripe:

• You must complete Stripe's onboarding process and agree to Stripe's Connected Account Agreement
• Stripe charges processing fees on each transaction (typically 2.9% + $0.30; cross-border and currency conversion fees may apply)
• Quotefy is not responsible for payment disputes, chargebacks, or Stripe account issues
• Payouts from Stripe to your bank account are subject to Stripe's payout schedule and policies
• You are solely responsible for the accuracy of your invoices and the services you provide to your clients

8. Acceptable Use

You agree not to use the Service to:

• Send fraudulent estimates or invoices
• Collect payments for services not rendered
• Harass, spam, or send unsolicited communications
• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to the Service or other users' accounts
• Upload malicious files or content
• Resell or redistribute the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these terms without notice.

9. Intellectual Property

The Quotefy name, logo, software, and website design are our intellectual property. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

We grant you a limited, non-exclusive, non-transferable license to use the Service for your business purposes for the duration of your subscription.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for the actions of your clients or third-party services (including Stripe)

11. Indemnification

You agree to indemnify and hold Quotefy harmless from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Termination

Either party may terminate this agreement at any time. You can terminate by canceling your subscription and deleting your account. We may terminate or suspend your account if you violate these Terms or engage in activity that harms the Service or other users.

Upon termination, your right to use the Service ceases immediately. Sections 6 (Your Data), 10 (Limitation of Liability), and 11 (Indemnification) survive termination.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or an in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
